6. Intellectual Property Rights

Our Property: All content, materials, and intellectual property created by Kassim Baba, including strategies, methodologies, templates, and proprietary tools, remain our exclusive property.

Client Property: You retain ownership of all content, materials, and intellectual property you provide to us. By providing these materials, you grant us a license to use them solely for the purpose of delivering our services.

Deliverables: Upon full payment, you will own the final deliverables created specifically for you as part of our services, unless otherwise specified in your service agreement.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation continues even after the termination of services. Confidential information does not include information that is publicly available or independently developed.

8. Performance and Results

While we strive to deliver exceptional results, digital marketing outcomes depend on many factors beyond our control, including market conditions, competition, and platform algorithm changes. We do not guarantee specific results, rankings, traffic levels, or revenue increases. Our commitment is to apply industry best practices and work diligently toward your goals.

9. Third-Party Services

Our services may involve the use of third-party platforms, tools, or services (such as Google Ads, Facebook Ads, or analytics platforms). You acknowledge that these third-party services have their own terms and conditions, and we are not responsible for their performance, availability, or policies.

10. Termination

Either party may terminate services according to the terms specified in the service agreement. General termination terms include:

• Written notice is required as specified in your agreement (typically 30 days)
• You remain responsible for payment of all fees for services rendered up to the termination date
• We may terminate services immediately if you breach these terms or fail to make payments
• Upon termination, we will provide you with any completed work and return your materials

11. Limitation of Liability

To the maximum extent permitted by law, Kassim Baba shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities. Our total liability for any claims arising from our services shall not exceed the total fees paid by you in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Kassim Baba from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your breach of these terms, or your violation of any laws or third-party rights.

13. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the laws of the jurisdiction where Kassim Baba operates.
